ST SYNERGY LIMITED PROSPECTUSES

ST Synergy Limited's Prospectus was lodged with the Australian Securities and Investments Commission (ASIC) on 14 November 2000.

This Prospectus is for the issue of 4,000,000 fully paid ordinary shares in ST Synergy Limited as amended by a New Supplementary Prospectus, at an issue price of $0.50 per share to raise $2,000,000( with the right to accept a further 1, 000, 000 shares to raise $500, 000).

A New Supplementary Prospectus was lodged with ASIC on the 14th March 2001 to provide updated information to investors. The New Supplementary Prospectus is in substitution for the previous supplementary prospectus dated 14th February 2001. The New Supplementary Prospectus must be read together with the original prospectus.

IMPORTANT

The Offer detailed in the Prospectus and the New Supplementary Prospectus is due to close 5pm on Monday 23 April 2001.

Please note that the Directors have discretion to close the Offer early.

An application for shares by the general public can only be made by completing the application form for shares titled 'Public Offer Application Form' accompanying the New Supplementary Prospectus.
